Board Advisory & Capital Structure — Independent Perspective at Board Level
Capital structure decisions and board-level corporate finance advisory require an independent perspective that neither internal teams nor commissioned advisors can credibly provide. We bring that view — and the discipline to implement decisions effectively.
The Independence Problem at Board Level
Every bank advising on capital structure has a financing mandate they're competing for. Every advisor offering strategic counsel has a subsequent engagement they're positioning for. Internal finance teams are constrained by organizational politics and proximity to management.
The result: boards making capital structure decisions — refinancing, recapitalization, leverage optimization, equity structure review — without access to truly independent advice. Advice that is not tied to a subsequent transaction, a fee, or an organizational relationship. ExS provides exactly that.
What We Do
We provide independent corporate finance advisory at board and supervisory board level. We assess capital structure options, evaluate financing alternatives, stress-test assumptions, and provide structured, actionable recommendations — without any interest in how the subsequent transaction is structured or who executes it.
Where a decision has been made, we own the implementation process — coordinating all external advisors and ensuring that the board's intent translates into executed outcome.
We can serve as the independent voice a board or audit committee commissions for a specific transaction or decision, or as a standing independent advisory resource for complex, recurring corporate finance decisions.
Scope of Board Advisory
- —Capital structure assessment and optimization
- —Independent fairness assessment on major transactions
- —Refinancing process advisory and lender coordination
- —Equity structure and shareholder governance review
- —M&A strategic advisory independent of execution mandates
- —Board-level corporate finance education and scenario analysis
- —Supervisory board advisory in conflict or crisis situations
Structural Independence as a Precondition
Independence is only meaningful if it is structural, not just declared. ExS charges retainer-based advisory fees — not success fees, not placement fees, not financing commissions. This means the advice is not shaped by which outcome is most profitable for the advisor. It means the board gets an assessment that reflects the actual situation — including the uncomfortable parts.
